Scope of Services & Engagement
The Company provides advisory, strategy, and implementation support services as agreed in written proposals, statements of work (SOW), or contracts. Deliverables, timelines, and fees will be defined per engagement. The Client agrees to provide timely access to necessary data, personnel, and resources required for execution. The Company does not guarantee specific business outcomes, revenue growth, or performance results, as outcomes depend on multiple external factors beyond its control.
Fees, Confidentiality & Liability
All fees, retainers, and milestone payments are non-refundable unless otherwise specified in writing. Late payments may incur additional charges or suspension of services. Both parties agree to maintain strict confidentiality of proprietary, financial, and strategic information exchanged during the engagement.
To the maximum extent permitted by law, the Company’s total liability arising from any claim shall not exceed the fees paid for the specific engagement. The Company shall not be liable for indirect, incidental, or consequential losses, including loss of profits, business interruption, or reputational damage.
Intellectual Property, Non-Solicitation & Termination
All pre-existing intellectual property remains the sole property of the respective owner. Upon full payment, the Client is granted a limited, non-transferable license to use deliverables for internal business purposes only. The Company retains the right to reuse general knowledge, frameworks, and methodologies.
The Client agrees not to solicit or hire the Company’s employees or contractors during the engagement and for a period of 12 months thereafter. Either party may terminate the engagement with written notice as defined in the agreement; however, all completed work and outstanding payments remain due.
